Terms of Service

In these Terms:

• "FMS", "we", "us", or "our" refers to FMS Farm Management Platform and its operators.
• "Platform" means the FMS web application, APIs, and all associated services accessible at fms.app and its subdomains.
• "User", "you", or "your" means any individual or organisation that accesses or uses the Platform.
• "Organisation" means a farm owner account and its associated data, members, and subscription.
• "Content" means any data, text, files, images, or other material you upload or store in the Platform.

By registering for an account, clicking "Get Started", or otherwise accessing the Platform, you confirm that you:

• Are at least 18 years of age or have the legal authority to enter into this agreement.
• Have read, understood, and agree to be bound by these Terms and our Privacy Policy.
• If acting on behalf of an organisation, have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

To use FMS you must create an account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the security of your password and account credentials.
• Promptly notify us of any unauthorised access to your account.
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that provide false information, engage in prohibited conduct, or violate these Terms.

FMS offers the following subscription tiers:

• Starter (Free): 1 farm, basic modules, up to 5 workers. No payment required.
• Pro: 3 farms, all core modules, up to 50 workers. Billed monthly.
• Enterprise: Unlimited farms and workers, all add-ons. Billed monthly.

Paid subscriptions are billed in Indian Rupees (INR) on a recurring monthly basis. You authorise us to charge your payment method on each billing cycle. Prices may change with 30 days advance notice.

Refunds: We offer a 7-day refund on first-time Pro or Enterprise subscriptions. No refunds are issued after the 7-day window or for partial months of usage.

Failure to pay may result in suspension of paid features. Your data is retained for 90 days after subscription lapse before permanent deletion.

FMS is intended for farm management and agricultural business operations. You may use the Platform to:

• Track financial records, labour, equipment, inventory, and crop data for your farms.
• List and sell farm produce on the FMS Marketplace.
• Invite team members and partners to collaborate on your organisation.
• Access AI-powered tools for crop disease detection and planning.

You must not use the Platform to:

• Violate any applicable Indian or international laws or regulations.
• Upload false, misleading, or fraudulent data or marketplace listings.
• Attempt to gain unauthorised access to other organisations' data or the underlying infrastructure.
• Use automated scripts, bots, or scrapers without written permission.
• Reverse engineer, decompile, or attempt to extract the Platform's source code.
• Resell, sublicense, or commercially exploit Platform access without a written reseller agreement.
• Upload content that is illegal, defamatory, or infringes third-party intellectual property rights.

Violation of these prohibitions may result in immediate account termination without refund.

You retain full ownership of all Content you upload to FMS. By using the Platform, you grant us a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing the service to you.

We do not sell your data to third parties. Our full data practices are described in our Privacy Policy.

On account deletion, your data will be permanently deleted within 90 days except where retention is required by law.

The FMS Marketplace allows farmers to list produce for sale and buyers to place orders. By using the Marketplace:

• Sellers are responsible for the accuracy of listings, including quantity, quality, and price.
• FMS acts as a platform intermediary only and is not a party to any transaction between buyers and sellers.
• Disputes between buyers and sellers must be resolved directly between the parties. FMS may mediate at its discretion but is not obligated to do so.
• Listings must comply with all applicable food safety and agricultural regulations.

The Platform, including its code, design, trademarks, logos, and all original content created by FMS, is owned by us and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights in the Platform beyond the limited licence to use it as described herein.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI-generated crop disease diagnoses and planting recommendations are provided for informational purposes only. FMS does not guarantee their accuracy. Always consult a qualified agronomist before making decisions that affect your crops or livelihood.

TO THE FULLEST EXTENT PERMITTED BY LAW, FMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, CROPS, OR REVENUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You may terminate your account at any time from Settings → Account → Delete Account.

We may suspend or terminate your access immediately, with or without notice, if we determine you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to other users or the Platform.

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of [Bengaluru / Karnataka], India.

We encourage you to contact us first at support@fms.app to resolve any dispute before initiating legal proceedings.

We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
